Our Firm advised EximBank Bhd, the Ministry of Finance and the Ministry of Transport in the historical establishment of Malaysia’s first protection and indemnity club. We incorporated the protection and indemnity club for the Ministry of Finance, who held a golden share, and drafted the related corporate documentation. These included the shareholders agreement, the memorandum and articles of association incorporating the shareholders agreement terms, the directors’ resolutions and the special members’ resolutions amending the memorandum and articles of association incorporating the shareholders agreement terms.

We assisted in drafting an updated Civil Aviation Act proposed to the Ministry of Transport. We regularly advise on Cape Town Convention jurisdictional questionnaires and Chicago Convention related queries.
